ADMA Individual Memberships Terms and Conditions

These Membership Terms set out the Individual Memberships agreement between the Association for Data-driven Marketing and Advertising, ABN 53 156 305 487 ("ADMA", "us", "our" or "we") and each person ("you" or "your") applying to be a Member of ADMA.

 

  1. Definitions

ADMA Website means the website located at https://www.adma.com.au/ or such other website designated by ADMA to be the ADMA Website.

Member means an individual or other entity accepted by us as a current member of ADMA.

Membership Account means a Member's account showing the Member's activity including transactions and Member Benefits obtained by the Member.

Member Benefit means a benefit available to a Member of that Membership Type.

Member Details means the details provided by a Member to ADMA (including but not limited to information provided on the membership application or subscriber form), and other information provided to ADMA from time to time about the Member and the Member's employees and their preferences for interacting with ADMA.

Membership Type means a category of membership to ADMA.

 

  1. Agreement to and amendment of terms

In applying to be a Member of ADMA, you must agree to the Membership Terms.

We may amend these Membership Terms from time to time. In the event there is a substantial change, ADMA will notify members of the change e.g. (by email or posting a notification to a Membership Account). At all times the Membership terms will be available on the ADMA Website. The updated terms as appearing on the ADMA site will be deemed to be the most recent and applicable Terms of Membership.

 

  1. Membership

3.1 Eligibility for Membership

Membership is only open to marketing professionals.

 

3.2 Applying for Membership

  • To become an ADMA Individual Member, you must purchase the product from the ADMA Website, and agree to the Membership Terms and Conditions.
  • ADMA may at its complete discretion, acting reasonably, choose to accept or reject any membership application.
  • If ADMA accepts your application for Membership, Membership will not start until ADMA has received all required membership registration requirements including full payment of the membership fee.
  • Membership is individual specific, as accepted by ADMA as a Member and cannot be transferred (including to any related entities of the Member).

 

3.3 Member Obligations

Each Member must act honestly, fairly and reasonably in all matters connected with ADMA. Without limiting this obligation, each Member:

- Must promptly notify ADMA if there is a change to details submitted in their membership application or Member Details;
  • - Must not attempt to transfer or otherwise deal with any Member Benefit other than in accordance with the Membership Terms;
  • - Must not abuse or misuse any Member Benefit or use it for any inappropriate, illegal or unlawful activity;
  • - Must comply with any applicable acceptable use rules of participation or similar policies in place for using a Member Benefit;
  • - Must not undertake or participate in any action or activity that could damage the reputation of ADMA;
  • - Must not make representations on behalf of ADMA without prior approval in writing. For example, a Member must not organise an event in the name of ADMA without prior written approval;
  • - Must regularly check their Membership Account and promptly notify us of any discrepancies in their Membership Account and in any case within three months after the relevant transaction;
  • - Must agree to prioritise the values advocated by ADMA in relation to responsible data-driven marketing. If a member is deemed to be categorised as a bad actor in terms of marketing practices and is deemed to be deliberately so then ADMA has the right, after reasonably notifying the member to suspend the members membership for a period of time and/or terminate the membership.
  • - Give ADMA such information as we reasonably request in accordance with your ADMA Individual Membership

 

3.4 Term and Termination of Membership

  • If a Member breaches the Membership Terms and we, acting reasonably, consider that it is a serious breach, then we may at our discretion give the Member a warning, suspend the person's membership for a period or terminate the organisation’s membership. A serious breach for example includes a breach by you of any requirement specifically listed under clause 3.3 "Member Obligations".

  • We may terminate membership of ADMA at any time if we decide to cease operation of business or a substantial part of the business of ADMA. In this case we may terminate membership by issuing a notice to each current Member. Notice will be sent to the Member's email address in their Member Details.
  • Termination of membership will not entitle the Member to a refund of their membership fees.

 

  1. Membership Fees
Membership Fee is directly related to the Individual Membership category that the Member is allocated to by ADMA
  • Membership fees are exclusive of GST and may be subject to increase at our discretion. We will notify you of any change to your annual membership fee.
  • Membership fees must be paid upon applying to become a Member and thereafter 30 days prior to the renewal date of your membership.
  • If membership fees are paid after the renewal date, the membership start date will remain as per the initial membership period.

 

  1. Membership Types and Benefits

5.1 Member Benefits

  • Member Benefits must be consumed within the applicable year and cannot be rolled over to the following year.
  • Details of Member Benefits are specific to the Member Type and are outlined to the prospective Member at the time of their application for Membership
  • A Member may need to complete an application or other process and pay fees to be entitled to a Member Benefit.
  • Once a booking has been made against a Member Benefit and that booking has been confirmed by ADMA, then that component of the Member Benefit will be deemed to have been redeemed and is no longer available for use.

  1. Privacy
  • Australian Computer Society (ACS) trading as Association for Data-Driven Marketing & Advertising (ADMA) collects personal information from you for the purposes of processing your ADMA Individual Memberships request, as well as personalising your membership and digital experience with ADMA.
  • We do not disclose your personal information to any third party outside of necessary onshore service providers unless doing so is authorised or required by law, or we have your consent to do so.
  • You have the right to access, or seek correction of, the personal information we hold about you, or to make a privacy complaint.
  • ADMA agrees to handle personal information in accordance with our Privacy Policy, the full terms of which are available at https://adma.com.au/privacy-policy

  1. Notices and Communication

Unless we determine that another means of communication is more appropriate, we will communicate with Members using the email address in your Member Details. Members should communicate with ADMA using the applicable contact details on the ADMA Website or by contacting the ADMA team (contact@adma.com.au).

 

  1. Liability
  • To the extent permitted by law, we have no liability to you whatsoever in contract, tort (including negligence), statute or otherwise, including for conduct of a Member (e.g., in a forum provided by ADMA) or conduct of an organisation interacting with ADMA.
  • These Membership Terms are subject to any rights or remedies you have under law, including those under the Australian Consumer Law which cannot be excluded, restricted or modified.

 

  1. Dealing with problems and concerns

If a Member has a complaint or concern with ADMA, a Member Benefit or the conduct of another Member please contact ADMA promptly about the matter. We will work with you in good faith to try to resolve the issue and take appropriate action.

 

  1. General
  • The Membership Terms and any other documents referred to in the Membership Terms form the entire agreement between you and us about the subject matter of the membership agreement and supersedes all other representations, negotiations, arrangements, understandings or agreements and all other communications.
  • The Membership Terms are governed by the laws of New South Wales.
  • Each party irrevocably and unconditionally: submits to the non-exclusive jurisdiction of the courts of New South Wales; and waives, without limitation, any claim or objection based on the absence of jurisdiction or inconvenient forum.
